Anthropic files an S-1 with the SEC

On 26 October 2026 Anthropic, PBC filed a registration statement on Form S-1 with the US Securities and Exchange Commission for an initial public offering of its Class A common stock, to be listed on the Nasdaq Global Select Market under the symbol "ANT". The number of shares and the price range are left blank. The filing gives revenue of 4.585 billion dollars for 2025 and 16.286 billion for the first six months of 2026, against 1.163 billion for the first six months of 2025.

Why it matters

One of the largest AI labs discloses its finances and its control structure in the form the SEC requires: a trust that elects a majority of the board through a class of Class T stock makes the company a "controlled company" under Nasdaq rules. Of the net loss of 80.7 billion dollars for the first half of 2026, 72.4 billion is a change in the fair value of convertible notes, derivative liabilities and SAFEs, and the operating loss was 693 million. This is a filing of intent: no offering has taken place.

What the pages say. Anthropic's post of 26 October 2026: the company filed a registration statement on Form S-1 for a proposed initial public offering of its Class A common stock and intends to list on the Nasdaq Global Select Market under the symbol "ANT"; the number of shares and the price range "have not yet been determined"; the statement "has not yet become effective". The EDGAR record: Anthropic, PBC, CIK 0002130357, file number 333-299633, accession 0001628280-26-067168, file date 2026-10-26, 34 documents (the main document, 31 exhibits and a fee table); a public filing. The statement (443 pages by its layout) leaves the share count and the prices on the cover blank; the underwriters are listed in this order: Goldman Sachs & Co. LLC, Morgan Stanley, J.P. Morgan, Citigroup, Barclays, Wells Fargo Securities, BofA Securities, and many more. Governance: Anthropic is a Delaware public benefit corporation; the Long-Term Benefit Trust, as sole holder of Class T common stock, can elect and remove the Class T directors, who make up a majority of the board; for that reason the company is a "controlled company" under Nasdaq rules. Summary data of the filing, in millions of dollars: revenue 41 (2023), 386 (2024), 4,585 (2025), 1,163 (six months to 30 June 2025), 16,286 (six months to 30 June 2026); operating loss 551, 2,980, 8,060, 2,135, 693; net loss 1,531, 8,309, 41,965, 12,969, 80,748, in which the change in fair value of convertible notes, derivative liabilities and SAFEs is 1,045, 5,434, 34,308, 10,942, 72,388. The 2025 operating expenses include a line "Bartz settlement" of 1,500 million. Customers with 100,000 dollars or more of revenue over the last twelve months numbered more than 11,900 at 30 September 2026, against more than 950 a year before. What the record does not claim. No offering has taken place, the statement is not effective, and the share count, the price and Run-Rate Revenue are blank in it. The figures for the first half of 2026 are unaudited, and the filing itself calls its operating metrics (Run-Rate Revenue, customer counts) internal and not independently verified. The risk factors, the management discussion and the exhibits (charter, trust agreements) were not read; what the "Initial Public Benefit Issuance" and the "Bartz settlement" line mean is not established here. Nothing from the press is used.
