Chipmakers invest in Meta shares
On 26–27 October 2026 Meta Platforms priced two concurrent offerings: $25.0 billion of Class A common stock (40 million shares at $625, through forward sale agreements) and $12.5 billion of 6.50 per cent mandatory convertible preferred stock, $37.5 billion in all. NVIDIA announced that it will invest $3 billion in the offering and AMD $1 billion; Meta's prospectus says NVIDIA, AMD and Broadcom indicated interest in up to $5.0 billion. Both companies also announced expanded deployments at Meta.
Why it matters
Two of Meta's main chip suppliers are putting money into the company that buys their chips: demand for computing is increasingly financed by share issues, and the suppliers' sales are tied to their customer's funding. Whether the chipmakers actually bought shares at the offering price the pages do not say: the prospectus calls their interest non-binding.
What the documents say. The preliminary prospectus supplements (424B5) of 26 October: 250 million Series A depositary shares at $50 (each 1/20 of a preferred share; an option for 37.5 million more), proceeds "for general corporate purposes"; $22.5 billion of Class A common stock sold by forward sellers (Morgan Stanley Capital Services and Goldman Sachs & Co. as forward purchasers). The common-stock supplement says NVIDIA, AMD and Broadcom "have, severally and not jointly, indicated an interest" in buying up to $5.0 billion on the same terms, and that these are "not binding agreements". The pricing term sheet (FWP, filed 27 October, dated 26 October): the common offering increased to $25.0 billion (40 million shares at $625.00, last sale on 26 October $630.56; an option for 6 million more); initial forward sale price $622.91875; Meta expects net proceeds of about $24.9 billion on settlement of the forwards (about $28.7 billion with the option) and does not initially receive proceeds from these shares; the preferred offering is 6.50 per cent, 250 million at $50, $12.5 billion; settlement 29 October. NVIDIA's release of 26 October: "NVIDIA will invest $3 billion in Meta's equity offering", Meta "intends to expand the deployment" of Vera Rubin and Vera CPUs, Spectrum-X and BlueField-4, and to continue work on the Muse models. AMD's release of 27 October: "AMD will invest $1 billion in Meta's equity offering"; initial Helios racks are "installed and being tested by Meta on the path to a broader deployment in the near future"; EPYC processors "millions" at Meta; Instinct GPUs in production for training, ranking and recommendation; a custom Instinct GPU Meta "will deploy". My sum: 3 + 1 = 4 of the 5.0 billion, the rest presumably Broadcom, but the documents do not say so. What the record does not claim. How many shares NVIDIA and AMD bought, and at what price, is unknown: the prospectus speaks of non-binding indications and the releases of intent. Meta's own pages, its 8-K of 21 October and its 10-Q of 22 October were not read. The offering had not closed (29 October) on 28 October. No independent reaction was sought.
